4. Services and Engagement Process

Inquiry & Proposal: All projects begin with a client inquiry, followed by a proposal, quotation, or scope of work (SOW) outlining deliverables, timelines, and cost.
Agreement: A project is confirmed only once both parties agree to the scope, cost, and timeline, whether via written agreement, invoice confirmation, or email approval.
Changes in Scope: Any additional work outside the agreed scope may incur additional charges and may affect delivery timelines.
Client Responsibilities: Clients must provide timely feedback, content, credentials, and approvals required to complete the project. Delays caused by the client may extend the project timeline accordingly.

5. Payment Terms

Pricing for Services will be communicated via a quotation or invoice prior to project commencement.
Unless otherwise agreed in writing, an advance payment (deposit) may be required before work begins, with the remaining balance due upon completion or per agreed milestones.
All payments are due within the timeframe specified on the invoice. Late payments may result in a pause of work or additional late fees.
Prices are subject to change for new projects; existing signed agreements will honor the originally quoted price unless scope changes.

6. Refund Policy

Deposits paid to initiate a project are generally non-refundable once work has commenced, as they cover time, resources, and planning already invested.
Refunds for undelivered or significantly incomplete work may be considered on a case-by-case basis at our sole discretion.
No refunds will be issued for completed and delivered work that meets the agreed scope of work.

7. Intellectual Property Rights

Client-Owned Materials: Any logos, content, branding, or materials provided by the client remain the property of the client.
Final Deliverables: Upon full and final payment, ownership of the final approved deliverables (e.g., final website code, final app build) transfers to the client, unless otherwise agreed in writing.
Pre-Existing IP: EG SERVICES retains ownership of pre-existing tools, frameworks, code libraries, templates, or proprietary systems used in delivering the Services, and grants the client a license to use them as part of the final deliverable.
Portfolio Use: We reserve the right to showcase completed projects (screenshots, descriptions) in our portfolio and marketing materials, unless the client requests confidentiality in writing.

8. Third-Party Services and Tools

Our Services may involve the use of third-party platforms, plugins, hosting providers, APIs, or app stores (e.g., Google Play Store, Apple App Store, payment gateways, cloud hosting providers). We are not responsible for the policies, downtime, fees, or actions of these third parties, including app store rejections or policy changes beyond our control.

9. Warranties and Disclaimers

We strive to deliver high-quality, functional digital solutions; however, Services are provided on an “as is” and “as available” basis.
We do not guarantee that the Services will be error-free, uninterrupted, or compatible with all future software/hardware updates.
Any post-delivery bug fixes related to features included in the original scope will be addressed within a reasonable warranty period as specified in the project agreement (e.g., 30 days), free of charge. Issues arising from client-side changes, misuse, or third-party updates are not covered.

10. Limitation of Liability

To the maximum extent permitted by law, EG SERVICES shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Site or Services. Our total liability for any claim shall not exceed the amount paid by the client for the specific Service giving rise to the claim.

11. Confidentiality

Both parties agree to keep confidential any proprietary business information, credentials, or data shared during the course of the engagement, and not to disclose it to third parties without prior written consent, except as required by law.

12. Termination

Either party may terminate an ongoing project with written notice if the other party breaches a material term of the agreement and fails to remedy it within a reasonable period.
In the event of termination, the client shall pay for all work completed up to the termination date.

13. Prohibited Uses

You agree not to use our Site or Services to:

Violate any applicable law or regulation
Infringe on the intellectual property rights of others
Transmit malicious code, spam, or harmful content
Attempt unauthorized access to our systems or data

14. Governing Law
